LighthouseAI Reseller Program Guide

This LighthouseAI Reseller Program Guide ("Program Guide") is between Pharma Solutions USA, Inc., DBA LighthouseAI ("Lighthouse AI”), a Delaware corporation, with headquarters located at 705 Montgomery Avenue, Suite 200, Penn Valley, Pennsylvania 19072, and Reseller and its Affiliates.

Program Overview

This Program Guide is effective starting May 1, 2023 (“Effective Date”).

Legal Notice:

This Program Guide is to be read in conjunction with your Reseller Program Agreement for the LighthouseAI Reseller Program.

• If any part of this Program Guide conflicts with the terms in the Program Agreement, the terms of this Program Guide take precedence.
• This Program Guide comes into effect as of the Effective Date. It replaces all prior versions of the Program Guide for the identified Programs. The current version of the Program Guide is located at www.lighthouseai.com/reseller-program-guide. LighthouseAI reserves the right to correct errors and omissions in this Program Guide with corrections effective as of the Effective Date.

Program Eligibility & Requirements

The LighthouseAI Partner Program caters to Reseller Program Partners. The following summarizes Eligibility and Program Requirements:

Available subject to LighthouseAI’s acceptance of your Reseller Program Agreement and your completion of Program Requirements

Program Requirements

• Your acceptance  of the Reseller Program Agreement, and ongoing compliance with the LighthouseAI  standard Code of Conduct (https://lighthouseai.com/code-of-conduct/)
• as well as the  Supplier and Partner Code of Conduct (https://lighthouseai.com/code_of_conduct_supplier_partner_addendum/)
• No employee certification requirements apply at this time
• For  Program membership renewals, a minimum of 1 transaction in the prior one-year  period at the time of renewal

Program Membership

The length of your Program membership is defined in your Program Agreement.

Transaction Rights

1.      Distribution Grant.

Participation in the LighthouseAI Reseller Partner Program grants you the right to resell any LighthouseAI offering on the then-current price list (“Reseller Pricing Exhibit”) within the applicable Territory for which you are authorized. The LighthouseAI EULA applicable to LighthouseAI service offerings can be viewed here: https://lighthouseai.com/eula/.

Purchases shall be sourced directly from LighthouseAI.

2.      Pricing.

Pricing shall be as set forth in the then-current Reseller Pricing Exhibit provided to you directly via email.  Pricing may be modified from time to time in LighthouseAI’s sole discretion by revisions to the Reseller Pricing Exhibit, but subject to thirty (30) days prior e-mail notice. Pricing is considered confidential and shall not be shared with any person or entity.

3.      Sourcing,Payment and Delivery of Services.

Yoursourcing, payment and delivery terms are set forth in your Program Agreement.You must ensure your customers understand such terms as applicable to them,including as to renewals (including auto-renewals).

4.      Renewals.

Yourpurchase and resale of offerings does not obligate or entitle you toparticipate in the purchase and resale of any renewals (includingauto-renewals).  To participate in anyrenewal (including auto-renewals), you must take the renewal order. Resale of anyrenewal must be completed prior to expiration of the then current offeringterm.

Feesmay increase and discounts may not apply to renewals. All orders, includingrenewals, are subject to acceptance by LighthouseAI at its sole discretion.
